A. Nature of Services

The Company provides Corporate Outplacement Services and HR consulting on a B2B basis. Our role is to provide coaching, resources, and guidance. We are not an employment agency and do not guarantee employment or specific career outcomes for any Service Participant.


B. Independent Contractor Status

The Company and its coaches/consultants act as independent contractors. Nothing in these Terms or any service agreement shall be construed to create a partnership, joint venture, or employment relationship between the Company and the Client or any Service Participant.

C. Client Obligations

The Client (the engaging organization) is responsible for providing all necessary information for Service Participant enrollment, including the Service Participant’s eligibility and contact details, and for timely payment of all service fees in accordance with the separate Service Agreement or Master Services Agreement.

3. User Conduct and Responsibilities

A. Prohibited Uses

You agree not to use the Services or content for any purpose that is unlawful or prohibited by these Terms. Prohibited activities include, but are not limited to:

1. Attempting to interfere with the proper working of the website or Services.

2. Using the Services to transmit any unlawful, threatening, abusive, or harmful material.

3. Violating any applicable federal, state, local, or international law or regulation.

B. Accuracy of Information

All Users (including Clients and Service Participants) warrant that any information, including resume data, provided to the Company is true, accurate, and complete.

4. Intellectual Property Rights

A. Company Property

All content on the website (including text, graphics, logos, and service materials) is the property of the Company or its licensors and is protected by copyright and intellectual property laws.

B. Client & Work Product

The Company acknowledges that all documents and materials prepared for a Client or Service Participant (e.g., final resumes, interview preparation notes, or other deliverables) as part of the Services are generally considered "work for hire" or, if not legally classified as such, the Company hereby assigns its rights to the Client (or the Service Participant, as appropriate) upon full payment for the Services.

5. Disclaimers and Limitation of Liability

A. Disclaimer of Warranties

The Services are provided on an "as-is" and "as-available" basis. The Company expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

B. Limitation of Liability

In no event shall the Company be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit or lost data, arising from your use of the website or Services. Our total liability to you for any cause whatsoever shall be limited to the amount paid, if any, by the Client for the Services giving rise to the claim.
